Definitions: Actual Rate of Pay: Pay rate for work performed during an Assignment, as detailed in the Assignment Details Form. Actual QP Rate of Pay: Pay rate after completing the Qualifying Period, as stated in any updated Assignment Details Form. Agency Worker: A worker provided by the Employment Business to the Hirer. Agreed Deductions: Deductions agreed upon by the Agency Worker from their pay. Assignment: Temporary work performed for the Hirer under the Employment Business’s supervision. Assignment Details Form: Written confirmation of assignment details provided upon acceptance. AWR: Agency Workers Regulations 2010. Calendar Week: A 7-day period starting from the first day of the First Assignment. Conduct Regulations: Conduct of Employment Agencies and Employment Businesses Regulations. Relevant Period: 8 weeks after the last day worked or 14 weeks from the start of the most recent Assignment. Temporary Work Agency: Defined in the Terms Schedule. Terms: These terms of engagement and any attached schedules. Transfer Fee: Fee payable by the Hirer for directly hiring the Agency Worker. Type of Work: Includes Industrial, Driving, Engineering, Logistics, Production, Manufacturing, Retail, and Commercial. WTR: Working Time Regulations 1998. Contract and Terms: These Terms govern all Assignments and are effective from the start of the First Assignment. No contract exists between Assignments. The Agency Worker is not an employee but is engaged on a contract for services. Variations to these Terms must be agreed in writing and provided to the Agency Worker within 5 business days. Assignments and Information: The Employment Business will seek suitable Assignments but the Agency Worker is not obligated to accept. 1. Agency Worker’s Obligations General Duties: The agency worker must follow the hirer's instructions, abide by their rules, and ensure health and safety. Conduct: The worker must not act detrimentally towards the hirer or the Employment Business, must not discriminate, and must keep confidential information private. Return of Property: Upon completion of the assignment, the worker must return any property provided by the hirer or Employment Business. Disclosure: The worker must inform the Employment Business of any prior or concurrent assignments with the hirer that might affect the Qualifying Period under the AWR. 2. Payment and Deductions Timesheets: The worker must submit a weekly timesheet to be paid for hours worked. If the timesheet is not properly authenticated, payment may be delayed. Pay Rates: Payment is made weekly in arrears, subject to deductions for overpayments or losses. Equipment: If equipment or clothing is provided, it must be returned in good condition or the cost will be deducted from the worker's pay. 3. Annual Leave Entitlement: Workers are entitled to statutory annual leave (5.6 weeks). This accrues based on hours worked. Requesting Leave: Leave requests should be made with notice, and some restrictions may apply. Holiday Pay: Holiday pay is calculated based on hours worked. 4. Sickness Absence Sick Pay: Workers may be eligible for statutory sick pay (SSP) if they meet statutory criteria. Notification: Proof of sickness (self-certificate or doctor’s note) must be provided. 5. Termination Termination of Assignment: Either party can terminate the assignment without notice. If the hirer's contract with the Employment Business ends, the assignment ends immediately. Absences: Failure to report absences may be treated as termination by the worker. Non-availability: Not notifying availability for 3 weeks will automatically terminate the contract. 6. Intellectual Property Rights Ownership: All intellectual property rights from the worker’s services during the assignment belong to the hirer. 7. Confidentiality Confidential Information: Workers must not disclose or misuse confidential information or materials from the hirer or Employment Business. 8. Data Protection Processing Personal Data: The Employment Business will process personal data in accordance with Data Protection Laws for administrative and payroll purposes. 9. Severability Validity: If any part of the agreement is deemed unenforceable, the rest of the terms remain valid. 10. Notices Communication: Notices must be in writing and can be delivered by hand, post, or email. 11. Rights of Third Parties Exclusions: The terms are not intended to benefit or be enforceable by third parties. 12. Governing Law Jurisdiction: The agreement is governed by the laws of England & Wales, and disputes are subject to the exclusive jurisdiction of their courts. For the avoidance of doubt, any notice bringing this Agreement to an end shall not be construed as termination by the Agency Worker of an Assignment with a Client. 4.3. Upon the expiry of the notice period set out in clause 4.1 the Working Week limit shall apply with immediate effect. 5.
